GENERAL CONDITIONS OF SALE

Effective date: 01/07/2025

1. Subject

TRONE offers to consumer and professional buyers (the " Buyers ") the sale of designer bathroom equipment (the " Products ") presented on its website https://www.troneparis.com/ (the " Site »). 

2. Seller identity and contact

TRONE is a simplified joint-stock company, registered with the Nanterre RCS under number 833 412 661, whose head office is located at 6 rue des Bateliers 92110 Clichy (" TRONE »). 

TRONE can be contacted at the following details, notably for any complaint:

3. Contractual documents and acceptance of the General Conditions 

The contractual relationship between TRONE and the Buyer is governed, in descending hierarchical order, by the following documents:

 

4. Link with the general conditions of the payment service provider

All payments made through the Site are managed by the Payment Service Provider(s) indicated on the Platform (the « Payment Service Provider(s) »).

By proceeding with the payment, the Buyer acknowledges having read and accepted the general conditions of the Payment Service Provider, available on their site.

If the Payment Service Provider refuses or terminates the Buyer's subscription, the latter cannot/can no longer purchase the Products through this Payment Service Provider.

The Buyer expressly mandates TRONE to transmit to the Payment Service Provider all their instructions related to payments made on the Site.

5. Legal capacity of Buyers 

1. The Buyer is:

• a natural person having full legal capacity, or failing that, is at least 15 years old or is between 13 and 15 years old and has obtained the agreement of their legal representative, and undertakes to provide TRONE with the e-mail address of their representative so that they can be contacted; or 

• a legal entity acting through a natural person with the power or authorization required to contract on behalf of and for the account of the Buyer.

2. The Buyer has the status of: 

• consumer, understood as any natural person acting for purposes that do not fall within the scope of his professional activity (the " Consumer Buyer "); or 

• professional, understood as any natural or legal person acting for purposes within the scope of his commercial, industrial, artisanal, liberal or agricultural activity, including when he acts on behalf of or for another professional (the " Professional Buyer »). 

6.  Characteristics of Products

Before any order and in particular in application of the provisions of article L111-1 of the Consumer Code, the Buyer can learn about the characteristics of each Product he wishes to order on the Site or by any other means that TRONE deems useful.

The entire catalog of Products that TRONE offers for sale is presented on the Site. 

TRONE also offers its Buyers custom "universes," allowing the creation of a personalized space integrating the Products. The order of custom universes is done by Quotation.

The photographs, 3D models, and descriptions of the Products offered for sale are as accurate as possible. They only bind TRONE for what is precisely indicated. The Buyer is however informed and accepts that certain characteristics of the Products, notably their color, may not exactly match the 3D models, photographs presented on the Site or by TRONE or any document sent by TRONE after the order, due to technical constraints.

The Buyer acknowledges and accepts that TRONE only offers the supply and delivery of the Products (except in countries where TRONE does not deliver) excluding any installation of these, which must be carried out by the Buyer himself or any service provider of his choice. 

TRONE nevertheless provides the Buyer with all the necessary documentation for the installation of the Products and recommends that the Buyer use a professional to carry out the installation. 

7. Order

1. Order placement 

• For online Orders: 

To place an order, the Buyer must select the Product of his choice and place it in his cart.

He can access the summary of his cart at any time as long as the order is not definitively validated and can correct any errors in the entered items.

The order is deemed received by TRONE when it can access it.

At the end of their order, the Buyer receives an e-mail confirmation which:

(i) summarizes the order elements and the delivery time planned,

(ii) includes the General Conditions in force on the day of the order.

Upon request, TRONE sends the invoice to the Buyer by e-mail. 

The Buyer must ensure that the contact details entered in their Account are correct and allow them to receive the e-mail confirmation of their order. If not received, the Buyer must contact TRONE at the contact details mentioned in the article « Seller identity and contact ».

TRONE recommends that the Buyer keep the information contained in the order confirmation. The order confirmation is deemed received by the Buyer when they can access it.

• For orders based on Quote: 

Any Professional Buyer wishing to place an order for a Product or any Buyer wishing to order a "universe" creation is invited to provide their contact details, including their e-mail address and delivery city via the contact form on the Site or to contact TRONE directly at the following e-mail address: contact@trone-paris.com.

TRONE will then contact the Buyer directly to obtain the additional information necessary for the order, to establish the Quote on this basis, and to communicate these General Conditions.

The Buyer guarantees that all the information provided is accurate, up-to-date, and sincere and is not misleading in any way. They are informed and accept that this information serves as proof of their identity and binds them upon validation.

The validation of the Quote by the Buyer under the conditions indicated in the article « Contractual documents » constitutes the formation of the sales contract. 

2. Order modification 

The Buyer acknowledges and accepts that once the Quote is validated or the online Order is validated, the order may be modified, subject, at the sole discretion of TRONE, to (i) the payment of additional fees charged to the Buyer or (ii) a shift in the initially planned delivery time. 

The Buyer must accept in writing the revision of the price or delivery time within 7 days from its communication by TRONE.  

In the absence of acceptance and payment by the Buyer, the latter will be deemed to have refused to modify their order and will be delivered under the initial order conditions. 

3. Order cancellation 

1. By the Consumer Buyer 

The Consumer Buyer has a delivery time of 14 days, from the date of receipt of the ordered Products, to withdraw without having to justify reasons or pay penalties, except for the return costs which remain their responsibility and which they must pay. When their order concerns several Products delivered separately, the above delivery time runs from the receipt of the last Product.

The Consumer Buyer who wishes to exercise their right of withdrawal must send to TRONE at the contact details mentioned in the article " Identity of the seller and contact", before the expiration of the above delivery time, the withdrawal form attached to these General Conditions duly completed, or a statement clearly expressing their wish to withdraw and containing their order number. 

The Products must imperatively be returned to TRONE in their original packaging, without undue delay and at the latest within 14 calendar days following the communication by the Consumer Buyer of their wish to withdraw. They must be accompanied by a copy of the corresponding purchase invoice. The Consumer Buyer is deemed responsible in case of deterioration of the Products during their return to TRONE.

TRONE may recommend to the Consumer Buyer a carrier to ensure the transport of the Products at the risks and costs of the Consumer Buyer. 

The Consumer Buyer will be reimbursed as soon as possible and at the latest within 14 days from the date of effective receipt by TRONE of the withdrawal request of the full amount paid for their order, less any return costs, which remain the responsibility of the Consumer Buyer. TRONE reserves the right, however, to delay this reimbursement until the effective recovery of the Products.

The Consumer Buyer is however expressly informed and agrees that, when the order concerns one or more Products from the "custom-made" range or "universal" Products, or if the Consumer Buyer proceeds with the installation of the ordered Products, before the expiration of the above delivery time, they expressly waive, in these cases, their right of withdrawal, which therefore cannot be exercised, in accordance with article L.221-28 of the Consumer Code.

2. By the Professional Buyer 

The Professional Buyer benefits from a right of withdrawal if they are a professional with 5 employees or fewer, (ii) purchase a good or service not within their main field of activity (i.e. not related directly or indirectly to the Products) and (iii) the contract is concluded "off-premises", namely:

• in a place, different from the premises of TRONE, where both it and the Professional Buyer were physically and simultaneously present together (for example: signing the quote at TRONE),

• at the premises of the Professional Buyer or by means of a remote communication technique, immediately after TRONE has personally and individually solicited the Professional Buyer (i) in a place different from that of the Professional Buyer's premises and (ii) where both TRONE and the Professional Buyer were physically and simultaneously present together (for example: appointment at the Professional Buyer's premises or at a trade show, delivery of a quotation on that occasion, then signature by the Professional Buyer at their premises (manually or online subscription)),

• during an excursion that TRONE organized to promote its Products.

Outside these cases, the Professional Buyer may cancel their order within 14 days from the order date and will owe an amount corresponding to 10% of the order, as a deposit. 

8.  Price and payment terms

1. Price

Unless otherwise stated, the selling price of the Products is indicated in euros, all taxes included (French VAT and other applicable taxes) and excluding taxes on the Site or, if applicable, in the Quotation. The price includes delivery fees which are the responsibility of the Buyer. These fees have been set relative to the delivery address provided by the Buyer. In case of modification of the latter after order validation, TRONE reserves the right to charge the Buyer additional delivery fees (the " Additional Delivery Fees »). 

When the order includes several Products and at the express request of the Buyer, TRONE may offer delivery in several installments and reserves the right to charge the Buyer Additional Delivery Fees.

The Buyer acknowledges and agrees that this price includes only the price of the Product and the elements included according to the Product characteristics present on the Site. 

TRONE reserves the right, at its sole discretion and according to terms it alone will judge, to offer promotional offers or price reductions.

Warning: Outside the European Union as well as in the DOM-TOM, customs duties or local taxes may be payable and can be charged upon receipt of the order by the Buyer, in addition to the price paid to TRONE. These duties and taxes, the exact amount of which TRONE cannot determine in advance and therefore cannot inform the Buyer of prior to their order, remain the responsibility of the Buyer, who alone is responsible for the proper completion of any related declarations and/or formalities.

2. Payment terms

Unless expressly waived in the Quotation, the Buyer must pay the full amount of the order, including Additional Delivery Fees. In this respect, the Buyer acknowledges and agrees that delivery of the Product is conditional upon payment of the full amount of the order. 

For Professional Buyers, payment can be made by bank transfer, online payment via Stripe, Paypal, bank transfer, or any other method offered on the Site or in the Quote at the time of the order. 

For online Orders, payment can be made by credit card, Paypal, Mollie, Scalapay, iDeal, or Bancontact through the Payment Service Provider indicated on the Site.

The Buyer guarantees to TRONE that they have the necessary authorizations to use the chosen payment method.

3. Consequences in case of late or default payment 

For Professional Buyers, in case of default or late payment, TRONE will send a first reminder by e-mail 7 days after the due date on the invoice. A second reminder will be sent by e-mail 14 days after the due date on the invoice. TRONE will send a formal notice 21 days after the due date on the invoice and will forward the case to its legal advisors for litigation if this formal notice has no effect within 7 days. 

In any case, TRONE reserves the right, from the day after the due date on the invoice, to:

- immediately suspend the ongoing delivery until full payment of all amounts due,

- charge interest on late payment at 3 times the legal interest rate, based on the amount of unpaid sums at maturity, and a fixed compensation of 40 euros for recovery costs, without prejudice to additional compensation if the actual recovery costs incurred exceed this amount.

4. Invoicing

Purchase invoices will be sent to the Buyer by any useful means, including e-mail to the address provided at the time of the order.

Invoices are payable upon receipt, the Buyer must pay their purchase invoice for the delivery to take place. 

5. Retention of title

TRONE retains full ownership of the Products sold until full payment of the price, including delivery fees.

9. Delivery 

1. Place of delivery

Buyers are expressly informed that TRONE only offers delivery of Products to the countries listed on its Site.

The delivery of the ordered Products will be made to the address indicated at the time of the Buyer's order as the "delivery address" (which may be different from the billing address).

If the Buyer wishes to change the delivery address, they must send a request to TRONE at least 7 weeks before the delivery time specified in the Quote. TRONE reserves the right to accept or refuse the modification and to charge Additional Delivery Fees if applicable, which must be validated in writing and paid by the Buyer before the delivery day.  

2. Delivery fees

The delivery fees for the Products will be indicated in the Quote.

Additional Delivery Fees may be charged by TRONE under the conditions described in the above article. 

3. Delivery time 

Delivery is made within a maximum delivery time of 6 weeks. 

For Professional Buyers, the delivery time indicated in the Quote is provided for information only; TRONE's liability cannot be engaged in case of non-compliance.

For Consumer Buyers, if delivery is not made within the above delivery time, the Consumer Buyer may terminate the order by registered letter with acknowledgment of receipt or by writing on another durable medium, if, after having urged TRONE, under the same conditions, to make the delivery within a reasonable additional period, it has not been performed within that period.

The contract is considered terminated upon receipt by TRONE of the letter or writing informing it of this termination, unless it has been performed in the meantime.

In case of contract termination according to the above terms, the Consumer Buyer will be refunded all amounts paid, including delivery fees, no later than 14 days after the date on which the contract was terminated.

TRONE reserves the right in any case to contact the Consumer Buyer to offer alternative solutions for refunding the price of the Products and delivery fees. The Consumer Buyer must explicitly express their acceptance of the choice of an alternative refund method on a durable medium.

4. International delivery conditions for Professional Buyers

For orders placed by international Professional Buyers residing in countries where TRONE does not directly provide delivery, the delivery method " Ex Works » (« EXW "), as defined by the applicable Incoterms®, applies. The list of countries not served by TRONE is available and updated on the Site.

In the context of an EXW delivery, TRONE's responsibility regarding the goods ends when they are made available to the Professional Buyer or the carrier of their choice at the pickup location indicated in the Quote. The Professional Buyer bears all risks and costs related to transport, insurance, export and import customs formalities, as well as all applicable taxes and fees from that point onward.

1. VAT and exports

Exports outside the French territory may benefit from a VAT exemption. However, for this exemption to be applied by TRONE, the Professional Buyer is required to provide proof that the goods have indeed left the French territory. The only document accepted to justify this exemption is the Unique Administrative Document (" DAU ") duly completed and approved by the competent authorities. This document must be sent to TRONE and attached to the corresponding invoice.

Failing the provision of the DAU within the deadlines indicated in the Quote, TRONE will charge French VAT at the current rate (currently 20%). 

It is imperative that the delivery country corresponds to the billing country for the application of VAT rules.

For deliveries to the United Kingdom: TRONE does not act as DDP (Delivery Duty Paid) and does not collect UK VAT. Buyers based in the United Kingdom are responsible for paying UK VAT and any other taxes or customs duties applicable to the importation of the goods into the UK territory.

10. Legal guarantees

The Consumer Buyer benefits from the legal guarantees of non-compliance as well as for hidden defects of the sold item, including defects of compliance resulting from the packaging of the Products ordered on the Site.

 

If the Consumer Buyer notices that the Product delivered to them has a defect, a non-compliance defect or is damaged, they must inform TRONE at the contact details mentioned in the article " Seller identity and contact "of these terms, indicating the nature of the defect, non-compliance or damage observed and sending any useful proof, notably in the form of photograph(s)."

 

If the defects were not apparent at the time of delivery, TRONE will organize with the carrier of its choice the return arrangements, which it will inform the Consumer Buyer of by any useful means. TRONE will bear the costs of this return.

 

The Products must imperatively be returned to TRONE in their original packaging (with the wedges to protect it) and on a pallet. In this respect, the Consumer Buyer will send TRONE two photographs: one photograph with the packaging open allowing the Products to be clearly seen in good condition with the wedges, and one photograph with the closed carton placed on a pallet. 

 

The Products must be accompanied by a copy of the corresponding purchase invoice.

 

Returns of Products not complying with the terms described above cannot be accepted.

 

TRONE will carry out the necessary checks and offer the Consumer Buyer the replacement of the Product as far as possible. If the replacement of the Product is impossible, TRONE will refund the Consumer Buyer the full price paid for the Product as well as the corresponding delivery time fees, by any useful means, as soon as possible and no later than 14 days following the date on which TRONE informed them of the impossibility to replace the Product. 

However, the legal warranty is notably not applicable if: 

• The Consumer Buyer knew or could not ignore the presence of the defect at the time of delivery which makes the Product non-compliant; 

• The defect originates from the installation or materials provided by the Consumer Buyer; 

• The observed defect does not come from the Product but from misuse of it, use not in accordance with the recommendations of TRONE or the manufacturer, the technical specifications, and the instructions provided with the Product. 

• The defect results from packaging of the Product by the Consumer Buyer that is not identical or does not correspond to the characteristics of the original packaging. 

11. Commercial Warranty 

Buyers benefit from a Commercial Warranty lasting 2 years from the purchase of the Product (the “Commercial Warranty”). Under this Commercial Warranty, TRONE commits to carry out the replacement or repair of the defective part or Product free of charge.

 This warranty only aims to cover manufacturing defects and material faults likely to affect the proper functioning of the Product under normal conditions of use.

The repair or replacement of the defective part or Product carried out under the Commercial Warranty does not extend its duration.

 

To benefit from the Commercial Warranty, the Buyer must send a request to TRONE at the contact details mentioned in the article "Identification de la Société". This request must be accompanied by any useful proof, notably in the form of photograph(s). 

After verification of the supporting documents, TRONE may refuse the Buyer's request or accept it. In this context, TRONE may, at its sole discretion, recover or not the defective parts or Products at its own expense. 

 

The Buyer no longer benefits from the Commercial Guarantee beyond the aforementioned delivery time.

12. Claims and returns

Upon delivery of a Product, the Buyer is required to carefully check the contents of the package and ensure its conformity with the order placed.

In case of apparent defect (notably damage, missing items or non-compliance with the order) observed at the time of delivery of the Products and resulting from its transport, the Buyer must inform TRONE within 2 working days.

The Buyer must refuse any damaged package and notify, within the aforementioned delivery time, via e-mail or by mail any deterioration to the address indicated in the article " Seller identity, contact ". Failing this, the delivery will be deemed perfect and any subsequent claim will be rejected.

This notification must be accompanied by any useful evidence, notably in the form of photograph(s). 

Without prejudice to the provisions set out in the “Legal guarantees” article, the Consumer Buyer acknowledges that an unconditional acceptance of a Product deprives the latter of the possibility to claim any conformity defects if they were apparent at the time of delivery. 

The Professional Buyer acknowledges and accepts that an unconditional acceptance of a Product deprives the latter of the possibility to claim defects in the Products found later, of any kind, excluding hidden defects.

Returns will only be accepted subject to compliance with the aforementioned provisions and after prior agreement from TRONE as well as assignment of a return authorization number and sending of a carrier label provided by TRONE.

Products must be returned in their condition, original packaging and on a pallet, and must show no signs of disassembly, installation, or use. They must be accompanied by the return authorization number provided by TRONE, as well as a Bank Identity Statement of the Buyer.

TRONE reserves the right to refuse any return of Products that have been the subject of an order accepted without reservation and delivered, subject to the provisions concerning the legal guarantee of conformity.

13. Obligations of Buyers

Buyers are solely responsible for the use they make of the Products. It is their responsibility to verify the suitability of the Products for their specific needs prior to purchasing said Products.

The Buyer remains responsible for the installation and use of the purchased Products. 

The Buyer agrees to use the Products in accordance with the technical data sheet provided with the Products. 

They must also take the necessary measures to save by their own means the information provided in the registration form, of which no copy will be provided to them.

Buyers are prohibited from any resale or commercial exploitation of the Products without the written agreement of TRONE. 

14. Liability of TRONE

1. TRONE regularly carries out checks to verify the operation and accessibility of the Site. As such, TRONE reserves the right to temporarily interrupt access to the Site for maintenance reasons. Likewise, TRONE cannot be held responsible for difficulties or temporary impossibilities of access to the Site which would originate from circumstances beyond its control, force majeure, or which would be due to disruptions of telecommunication networks.

 

2. TRONE provides the Buyer with no warranty as to the adaptation of the Products to his needs, expectations or constraints.

3. TRONE provides user manuals on the Products and cannot be held responsible in case of non-compliant installation or use of the Products.  

4. TRONE cannot be held responsible for non-performance or delay in the performance of sales contracts due to circumstances beyond its control or a case of force majeure, as defined in article 1218 of the Civil Code.

5. In case of damages suffered by the Buyer resulting directly from the Products, for example water damage, the latter undertakes to declare the claim to his insurance within a delivery time of 5 days. The latter will decide on the opportunity to appoint an expert for the purpose of carrying out an expertise to assess the damages suffered and determine the causes of the claim.

If it appears from the expertise that the damages result directly from the Products, TRONE undertakes to compensate the Buyer up to the amount of the damages covered by its insurance. 

6. In any case, the liability that may be incurred by TRONE under these terms is expressly limited to the only proven direct damages suffered by the Buyer.

7. For Professional Buyers, except for bodily injury, death and gross negligence, TRONE's liability cannot be engaged for an amount exceeding the amounts of the price of the Products. 

 

15. Intellectual property 

The photographs on the Site, the catalog and the technical sheets as well as the Products, models, systems, software, structures, infrastructures, databases and contents of any kind (texts, images, visuals, music, logos, drawings and models, brands, database, etc ...) exploited by TRONE within the Site or marketed or communicated by TRONE are protected by all intellectual property rights or rights of database producers in force. All disassemblies, decompilations, decryptions, extractions, reuses, copies and more generally, all acts of reproduction, representation, distribution and use of any of these elements, in whole or in part, without the authorization of TRONE are strictly prohibited and may be subject to legal action. 

16. Personal data 

TRONE follows a personal data protection policy accessible here which the Buyer is invited to take note of.

17. Commercial references 

The Buyer expressly authorizes TRONE to quote them and, if applicable, to use the reproduction of the Product as commercial references, notably during events or manifestations, in its commercial documents and on the Site, in any form whatsoever and for a duration of 3 years from the delivery time of the order.

 

The Buyer expressly authorizes TRONE to photograph the Product after its installation to promote it on its Site or any other communication medium.

18. Prohibited behaviors

1. Strictly prohibited are: (i) any behavior likely to interrupt, suspend, slow down or prevent the proper functioning of the Site, (ii) any intrusions or attempted intrusions into TRONE's systems, (iii) any diversion of the Site's system resources, (iv) any actions likely to impose a disproportionate load on its infrastructures, (v) any breaches of security and authentication measures, (vi) any acts likely to harm the financial, commercial or moral rights and interests of TRONE or users of its Site, (vii) any practice diverting the Site for purposes other than those for which it was designed and finally more generally (viii) any breach of these general conditions or applicable laws and regulations.

 

2. It is strictly forbidden to monetize, sell or grant all or part of the access to the Site, as well as the information it contains.

3. Except with the prior written agreement of TRONE, any commercial exploitation of the Products by Buyers is prohibited, including any resale or distribution for a fee. 

4. In case of breach of any of the provisions of this article or more generally, violations of laws and regulations, TRONE reserves the right to take all appropriate measures and to initiate any legal action.

19. Modifications 

TRONE reserves the right to modify these General Conditions at any time. In this case, the applicable conditions will be those in force on the delivery time of the Buyer’s order.

20. Language

In the event of a translation of these general conditions into one or more languages, the language of interpretation shall be French in case of contradiction or dispute over the meaning of a term or provision. 

21. Mediation

The Consumer Buyer has the right to use a consumer mediator free of charge for the amicable resolution of any dispute concerning the execution of these terms that may oppose them to TRONE, under the conditions provided for in articles L611-1 and following of the Consumer Code.

22. Applicable law and jurisdiction

These General Conditions are governed by French law.

In case of dispute regarding the validity, interpretation and/or execution of these General Conditions, TRONE and the Professional Buyer agree that the courts of Paris shall have exclusive jurisdiction to judge, except for mandatory procedural rules to the contrary.
