GENERAL TERMS AND CONDITIONS OF SALE – RESELLER
Effective date: 01/01/2026
1. Purpose
These General Terms and Conditions (the “General Terms and Conditions”) are intended to define the terms and conditions under which TRONE offers authorized professional partners (the “Resellers”) the purchase of designer bathroom equipment (the “Products) for resale to their own customers.
The Products are presented in particular on TRONE’s website, accessible at the following address: www.troneparis.com (the “Site”), it being specified that the information appearing on the Site is provided for informational purposes only and does not constitute a contractual offer to Resellers.
2. Seller’s identity and contact details
TRONE is a simplified joint-stock company, registered with the Nanterre Trade and Companies Register under number 833 412 661, whose registered office is located at 6 rue des Bateliers 92110 Clichy (“TRONE”).

3. Contractual Documents and Acceptance of the General Terms and Conditions
The contractual relationship between TRONE and the Reseller is governed, in descending order of priority, by the following documents:

Orders are generally placed by sending a Purchase Order. An order is deemed accepted only after written confirmation from TRONE or commencement of performance (including preparation or shipment of the Products). The terms appearing on the Reseller’s purchase orders or documents are enforceable against TRONE only if they have been expressly accepted in writing. |

4. Relationship with the payment service provider’s general terms and conditions
When payment for the Products is made through a payment service provider offered by TRONE (the “Payment Service Provider(s)”), the corresponding payment transactions are carried out directly between the Reseller and that provider, in accordance with its own contractual terms.
The Reseller acknowledges that acceptance of the Payment Service Provider’s general terms and conditions may be required to use this payment method.
The refusal or termination by the Payment Service Provider of its relationship with the Reseller does not affect the validity of sales concluded with TRONE, but may lead TRONE to require the use of another payment method.
The Reseller authorizes TRONE to transmit to the Payment Service Provider the information strictly necessary to process the transactions.
5. Legal capacity of Resellers
The Products are intended exclusively for professional partners acting in the course of their business activities.
The Reseller declares and warrants:
- be a duly incorporated legal entity or an individual acting in a professional capacity;
- have the legal capacity required to enter into a contract with TRONE;
- be represented by a person duly authorized to bind the Reseller.
TRONE reserves the right to request any supporting document relating to the identity, registration or authority of the signatory and to refuse any order in the absence of sufficient information.
These General Terms and Conditions do not apply to consumers.
5. Characteristics of the Products
The Reseller may learn about the essential characteristics of the Products on the Website or through any other technical or commercial material provided by TRONE before placing the order.
The catalogue of Products offered for sale is available, in particular, on the Website. The information, visuals, photographs, 3D models and descriptions are provided for indicative purposes only and have no contractual value, unless expressly stated otherwise.
TRONE also offers the design of bespoke “universes” incorporating the Products. Any order relating to these projects is subject to a specific quotation.
The Reseller acknowledges and accepts that certain characteristics of the Products—particularly colors, textures, or visual appearances—may differ slightly from the images or marketing materials due to technical or manufacturing constraints.
Unless otherwise stipulated, TRONE is responsible exclusively for supplying and delivering the Products. No installation service is included.
The Reseller remains responsible for:
- the installation of the Products;
- their implementation at the end customer’s premises;
- the suitability of the Products for the intended use.
TRONE provides the necessary technical documentation and recommends using qualified professionals for installation.
7. Order
7.1 Placing an Order
Orders for Products may be placed by the Reseller by issuing a Purchase Order, accepting a Quotation prepared by TRONE or, where applicable, by any electronic means made available by TRONE, including via the Site.
The order becomes binding only after express acceptance by TRONE. This acceptance may be evidenced by written confirmation, the issuance of an invoice, or the commencement of performance of the order, particularly through the preparation or shipment of the Products.
TRONE reserves the right to refuse or suspend any order, particularly in the event of incomplete information, exceeding the authorized outstanding balance limit, a payment incident, or any legitimate reason related to the management of its distribution network.
The Reseller warrants the accuracy of the information provided when placing the order and acknowledges that such information has contractual value and is binding on it accordingly.
7.2 Orders Based on a Quotation
Any request relating to the order of Products or the creation of a bespoke “universe” may result in TRONE preparing a Quotation.
The Reseller’s acceptance of the Quotation, in accordance with the procedures set out in the section “Contractual Documents”, results in the formation of the sales contract.
7.3 Electronic Orders via the Site
When TRONE makes an online ordering tool available:
- the Reseller selects the desired Products;
- the order is deemed received as soon as it has been technically validated;
- a summary confirmation is sent electronically.
This confirmation includes, in particular:
- the order details,
- the estimated delivery times,
- these General Terms and Conditions.
The Reseller is responsible for updating its contact details and retaining the confirmations received.
7.4 Order Changes
The Reseller acknowledges and accepts that once the Quote has been validated or the order accepted by TRONE, it becomes firm.
Any subsequent request for an amendment is subject to TRONE’s prior consent and may result, in particular, in:
- a price revision,
- the application of additional fees,
- an adjustment to the delivery time,
- or the technical impossibility of making the amendment.
TRONE informs the Reseller of the possible consequences of the requested amendment.
The Reseller has a delivery time of five (5) business days from this communication to accept the new conditions in writing.
If the amendment is not accepted within this period:
- the order will be executed under its initial conditions if this remains possible; or
- otherwise, TRONE may cancel it without incurring liability, with any costs already incurred remaining payable by the Reseller.
7.5 Order cancellation
The Reseller is informed that certain legal provisions may grant it a right of withdrawal when it meets the conditions set out in the Consumer Code. Any exercise of this right is solely its responsibility.
Except in cases provided for by law, any order accepted by TRONE is firm and may only be cancelled with TRONE’s prior written consent.
If TRONE accepts a cancellation, this may result in the invoicing of costs incurred, manufacturing or procurement costs, and/or a fixed compensation payment.
Unless otherwise stipulated, any cancellation made after acceptance of the order will result in the payment of minimum compensation equivalent to ten percent (10%) of the order amount.
8. Prices and payment terms
8.1 Prices
Unless otherwise stipulated, the prices of the Products are expressed in euros excluding taxes and are set out in the pricing schedules provided by TRONE or in the applicable Quote.
The information on the Site is provided for guidance only and does not constitute a contractual offer to Resellers.
Transport, insurance, packaging, and delivery costs are not included unless otherwise stated. They are determined in particular according to the delivery location, the quantities ordered, or the agreed logistical conditions and may be subject to additional charges.
If the delivery address or order structure is modified after validation, TRONE reserves the right to charge additional fees.
The prices apply exclusively to the supply of the Products and do not include any installation, handling, or commissioning services.
TRONE reserves the right to change its prices at any time. The new prices apply to orders placed after they have been communicated.
The pricing schedules provided to Resellers are confidential and may not be disclosed to third parties.
TRONE may apply different price lists depending on the geographical delivery area, including one price list applicable to European Union countries and specific price lists applicable to certain countries or areas outside the European Union, including the United Kingdom or Switzerland.
Free-shipping thresholds may be defined by geographical area. The applicable terms, including any free-shipping thresholds, shall be communicated to the Reseller at the time of ordering or in the current price lists. These thresholds may differ in particular for deliveries made outside the European Union.
For deliveries outside the European Union, as well as to the French overseas departments and territories, customs duties, local taxes, and administrative formalities shall be borne exclusively by the Reseller.
8.2 Payment terms
Unless otherwise stipulated in the Quotation or the applicable special terms and conditions, invoices issued by TRONE are payable within the deadlines agreed between the parties, in particular by bank transfer or SEPA direct debit.
TRONE reserves the right to require the establishment of a SEPA direct debit mandate as the preferred payment method.
Payments may also be made through a payment service provider or by any other means accepted by TRONE.
Delivery of the Products is not conditional upon prior payment, except in the event of a first order, exceeding the authorized outstanding-balance limit, a payment incident, or a specific request from TRONE.
The Reseller warrants that it has the necessary authorizations to use the selected payment method.
8.3 Consequences of late payment or non-payment
Any late payment shall automatically and without prior formal notice result in:
- the application of late-payment interest calculated at a rate equal to three (3) times the statutory interest rate, applied to the total amount including tax of the sums due;
- payment of a fixed indemnity of forty (40) euros for collection costs, without prejudice to additional compensation if the costs actually incurred exceed this amount.
In addition, TRONE reserves the right, at its sole discretion, to:
- suspend any ongoing or upcoming delivery;
- require immediate payment of all amounts due, including those not yet due;
- reduce or withdraw the approved outstanding-balance limit;
- require advance payment for future orders;
- terminate or cancel pending orders.
Failure to pay may also result in automatic set-off against any amount owed by TRONE to the Reseller.
8.4 Invoicing
Invoices are issued by TRONE upon shipment of the Products or in accordance with any other terms agreed between the parties.
They shall be sent to the Reseller by any appropriate means, including electronically.
Unless otherwise stipulated, invoices are payable within the time limits agreed between the parties and stated on the invoice.
Any dispute relating to an invoice must be raised in writing within ten (10) calendar days of its receipt. Failing this, the invoice shall be deemed accepted.
8.5 Retention of title
TRONE retains full ownership of the Products sold until effective payment of the entire price, including principal and ancillary amounts.
The Reseller undertakes to:
- keep the Products separately identifiable;
- not pledge or provide them as security;
- immediately inform TRONE in the event of seizure, insolvency proceedings, or a third-party claim.
If the Products are resold before full payment, the Reseller hereby assigns to TRONE the corresponding receivables up to the amount of the sums remaining due.
In the event of non-payment, TRONE may claim the Products at the Reseller’s expense.
9. Delivery
9.1 Delivery location
The Products are delivered to the address provided by the Reseller when placing the order.
TRONE arranges delivery in the areas it serves directly, according to the logistics arrangements agreed between the parties.
For other destinations, deliveries may be made according to the applicable Incoterm specified in the Quotation or order confirmation, in particular EXW.
The Reseller is responsible for the accuracy of the information provided for delivery.
Any error or omission may result in additional costs being charged to the Reseller.
Any request to modify the delivery location must be made in writing within a reasonable period before shipment.
TRONE reserves the right:
- to accept or refuse the modification,
- to adjust the delivery times,
- to charge the corresponding additional logistics costs.
9.2 Delivery costs
The delivery costs for the Products are stated in the Quotation, order confirmation, or any other applicable contractual document. They are determined in particular according to the delivery location, the quantities ordered, and the logistics arrangements selected.
Any modification to the order, delivery address, or transport conditions after acceptance of the order may result in TRONE charging additional fees, which will be notified to the Reseller.
9.3 Delivery time
The delivery times communicated by TRONE are provided for information purposes only. Exceeding them shall not incur TRONE’s liability or justify cancellation of the order, refusal of the Products, or the award of penalties, unless a specific commitment has been expressly accepted in writing.
TRONE shall not be held liable for any delay resulting in particular from circumstances beyond its control, logistical constraints, supplier delays, force majeure, or inaccurate information provided by the Reseller.
9.4 Conditions for international deliveries to Professional Buyers
For orders placed by Resellers located in areas where TRONE does not directly provide delivery, the Products are delivered in accordance with the Incoterm specified in the Quotation or order confirmation, in particular Ex Works (EXW) as defined by the Incoterms® in force.
In this context, making the Products available at the pickup location indicated in the Quotation constitutes delivery. From the time the Products are made available, the risks transfer to the Reseller, which assumes responsibility for transport, insurance, export and import customs formalities, as well as payment of all applicable taxes, duties, and fees.
TRONE shall not be held liable for transactions occurring after this provision has been made, nor for any consequences related to the logistics or customs arrangements chosen by the Reseller.
9.4.1. VAT and exports
Product deliveries made outside French territory may qualify for a VAT exemption in accordance with applicable regulations. For this exemption to apply, the Reseller must provide TRONE with any supporting document certifying that the goods have effectively left the territory, including the duly completed and endorsed Single Administrative Document (SAD) issued by the competent authorities. This document must be sent within the deadlines specified by TRONE and attached to the corresponding invoice.
If this supporting document is not received within the required deadlines, TRONE reserves the right to charge French VAT at the prevailing rate.
The Reseller is responsible for ensuring consistency between the delivery country and the billing country, as well as compliance with all applicable tax and reporting obligations in the relevant jurisdiction.
10. Statutory warranties
Products sold to the Reseller benefit from the statutory warranties applicable between professionals, including the warranty for latent defects provided for in Articles 1641 et seq. of the French Civil Code, as well as any other applicable mandatory statutory warranty.
The Reseller must check the apparent condition of the Products upon receipt and inform TRONE without delivery time of any defect, non-conformity, or damage observed, specifying its nature and providing any useful supporting documentation. If no notification is made within a reasonable period, the Products will be deemed compliant.
If the defect was not apparent upon delivery, the Reseller must inform TRONE as soon as it is discovered. After analyzing the situation, TRONE will indicate the handling procedures, including, where applicable, the return of the Product. Products must be returned in their original condition, in their original packaging where possible, accompanied by the corresponding invoice. Any return that does not comply with the instructions provided may be refused.
If the defect is established and falls under TRONE’s responsibility, TRONE will, at its discretion, replace or repair the Product. Failing this, a refund may be issued up to the amount paid for the relevant Product.
The warranty does not cover defects resulting from incorrect installation, use not in accordance with the technical specifications or recommendations provided, modifications made to the Product, normal wear and tear, or damage attributable to the Reseller or the end customer.
The Reseller remains solely responsible to its own customers for the legal obligations incumbent upon it concerning warranties, without prejudice to its recourse against TRONE under the conditions set out above.
11. Commercial warranty
TRONE grants the Reseller a commercial warranty lasting two (2) years from the date of purchase of the Product. Under this warranty, TRONE undertakes, at its discretion, to repair or replace the defective part or relevant Product free of charge where the defect results from a manufacturing defect or materials defect affecting the normal operation of the Product under conditions of use consistent with its intended purpose.
Implementation of the commercial warranty does not extend its initial duration.
To benefit from it, the Reseller must submit a request to TRONE, providing information identifying the Product and all useful supporting evidence, particularly photographs or technical documents. After review, TRONE will inform the Reseller of the outcome of the request and may decide, at its sole discretion, whether or not to recover the relevant parts or Products.
The commercial warranty does not cover damage resulting from incorrect installation, use not in accordance with the instructions or technical specifications, modification of the Product, lack of maintenance, normal wear and tear, or any cause external to the Product.
The Reseller remains responsible to its own customers for the warranties it grants them and for managing their commercial relationship. The commercial warranty granted by TRONE is strictly limited to the Reseller and does not create any direct contractual relationship with the end customer.
The benefit of the warranty ends upon expiry of the aforementioned delivery time.
12. Claims and returns
Upon receipt of the Products, the Reseller must immediately check their condition, quantity, and conformity with the order.
In the event of an apparent defect, damage, shortage, or non-conformity attributable to the carrier, the Reseller must make all appropriate reservations with the carrier and notify TRONE in writing within two (2) business days, providing all necessary supporting evidence, particularly photographs. Failing this, the delivery will be deemed compliant, and no subsequent claim relating to these apparent defects will be considered.
Refusal of a package that is visibly damaged must be notified to TRONE without delivery time. Acceptance of a Product without reservation prevents the Reseller from invoking apparent defects, without prejudice to the application of statutory warranties in the event of a latent defect.
No Product may be returned without TRONE’s prior written consent. After acceptance, a return authorization number will be provided and must imperatively accompany the returned Product.
The Products must be returned in their original condition, without having been installed or used, and in their original packaging whenever possible. Any return that does not comply with the instructions provided may be refused.
TRONE reserves the right to refuse the return of Products accepted without reservation upon delivery, except in cases covered by the applicable warranties.
13. Reseller’s Obligations
The Reseller is solely responsible for its use of the Products and for their suitability to its customers’ needs. It is responsible for ensuring, before placing any order, that the Products correspond to the intended use.
The Reseller remains responsible for the installation, implementation, and use of the Products, as well as for the services provided to its own customers. It undertakes to comply with the technical specifications, instructions, and recommendations provided by TRONE and, where applicable, to communicate them to its customers.
The Reseller is authorized to resell the Products in the ordinary course of its business, subject to compliance with these General Terms and Conditions and any specific conditions agreed with TRONE.
In this respect, the Reseller is authorized to market the Products exclusively:
- at its physical point or points of sale approved by TRONE;
- to customers located internationally, subject to compliance with applicable regulations.
Any other method of marketing is strictly prohibited without TRONE’s prior written consent.
The following are notably prohibited:
- sales on marketplaces (“marketplaces”), third-party platforms, or online intermediaries;
- the resale of the Products to other distributors, wholesalers, or resellers not approved by TRONE;
- the modification of the Products, their presentation, or the associated documentation in a manner likely to affect their compliance, safety, or TRONE’s brand image;
- any clearance operation, exceptional promotional sales, private sales, or resale through parallel channels not approved by TRONE.
The Reseller undertakes not to circumvent these restrictions, directly or indirectly.
Any breach of this article constitutes a serious breach that may result in the immediate suspension of deliveries and/or termination of the business relationship, without prejudice to any claim for damages.
The Reseller remains responsible for complying with all regulations applicable to its business, particularly concerning installation, safety or dealings with the end customer.
14. Selective Distribution Network
The marketing of the Products takes place within the framework of a selective distribution network established by TRONE in order to preserve the brand image, high-end positioning and quality of presentation of the Products.
The resale of the Products is exclusively reserved for professionals previously approved by TRONE as authorized Resellers.
Approval is granted by TRONE on the basis of objective qualitative criteria, defined and applied without discrimination, relating in particular to:
- the positioning and image of the point of sale;
- the quality of the commercial environment and the presentation of the Products;
- the consistency of the Reseller's positioning with the world and identity of the TRONE brand;
- the professional competence of the Reseller and its staff.
These criteria are applied objectively, uniformly and without discrimination to all reseller candidates and are intended to preserve the brand image, quality of presentation and high-end positioning of the Products.
TRONE reserves the right to refuse or withdraw approval from a Reseller that no longer meets these criteria or harms the image, reputation or premium positioning of the Products.
Withdrawal of approval may result in the suspension or termination of the business relationship, without compensation, subject to compliance with reasonable notice except in the event of a serious breach.
15. Commercial Policy and Communication
The Reseller remains free to determine its resale prices, in accordance with applicable regulations.
However, in order to preserve the high-end positioning and brand image of the Products, the Reseller undertakes not to, without TRONE's prior written consent:
- any commercial communication likely to undermine the premium positioning of the Products;
- any presentation of the Products incompatible with the TRONE brand image;
- any use of visual materials, photographs, descriptions or content not provided or approved by TRONE.
The Reseller undertakes to use exclusively the visual materials, technical descriptions and marketing materials provided or approved by TRONE.
Any adaptation or creation of content relating to the Products must receive TRONE's prior written approval.
Any breach of this article may result in the suspension of deliveries or termination of the business relationship.
16. TRONE's Responsibility
TRONE may carry out maintenance or updates to its digital tools, particularly the Site, which may temporarily interrupt access. It shall not be held liable for unavailability resulting from such operations or for disruptions attributable to external circumstances, force majeure, or failures of communication networks.
TRONE does not guarantee that the Products are suitable for the specific needs of the Reseller or its customers. The Products are supplied with their technical documentation and user manuals, and TRONE shall not be held liable for consequences resulting from installation, use, or implementation that does not comply with these instructions.
TRONE shall not be held liable for failure to perform or delay in performing its obligations when this results from force majeure within the meaning of Article 1218 of the French Civil Code or from circumstances beyond its reasonable control.
In the event of alleged damage resulting from the Products, the Reseller undertakes to report the claim to its insurer and to allow the necessary expert assessments to be carried out to determine its cause. If the expert assessment establishes that the damage is directly attributable to the Products, any compensation payable by TRONE shall be made within the limits of the insurance coverage taken out and under the conditions set out herein.
In any event, TRONE’s liability is limited solely to direct, certain, and proven losses suffered by the Reseller.
Unless otherwise mandatorily required by law, and except in cases of bodily injury, death, gross negligence, or willful misconduct, TRONE’s total liability may not exceed the amount paid by the Reseller for the Products giving rise to the damage.
17. Intellectual property
The photographs on the Site, in the catalog, and in the technical data sheets, as well as the Products, models, systems, software, structures, infrastructures, databases, and content of any kind (texts, images, visual materials, music, logos, designs and models, trademarks, databases, etc.) operated by TRONE on the Site or marketed or communicated by TRONE are protected by all applicable intellectual property rights or database producer rights. Any disassembly, decompilation, decryption, extraction, reuse, copying, and, more generally, any act of reproducing, representing, distributing, or using any of these elements, in whole or in part, without TRONE’s authorization, is strictly prohibited and may result in legal proceedings.
18. Personal data
TRONE has a personal data protection policy available here, which the Reseller is invited to review.
19. Commercial references
The Reseller authorizes TRONE, free of charge and on a non-exclusive basis, to mention its name, corporate name or trade name and to reproduce the delivered Products as commercial references, particularly in its promotional materials, at professional events or on its communication media, including digital media, for a period of three (3) years from the date of the order.
The Reseller also authorizes TRONE to take photographs or visual recordings of the Products after their installation, provided that such uses do not harm its image or rights, and to use them for the same promotional purposes.
This authorization may be withdrawn for legitimate reasons by written notice sent to TRONE, without retroactive effect on uses already made.
20. Prohibited conduct
The Reseller shall refrain from any conduct likely to harm TRONE’s systems, digital infrastructure or rights. In particular, any act intended to disrupt the operation of the Site, any attempt to gain unauthorized access to computer systems, any misuse of the digital resources made available, and any interference with security or authentication measures are prohibited.
The Reseller shall not assign, grant, resell or make available to third parties access to the Site, tools or information accessible through it, except with TRONE’s express authorization.
The Reseller undertakes to use and resell the Products in accordance with these General Terms and Conditions and any agreements entered into with TRONE. In particular, it shall refrain from any practice likely to harm TRONE’s image, reputation or intellectual property rights, as well as from any use of the Products or their documentation in violation of applicable laws and regulations.
In the event of a breach of these obligations, TRONE reserves the right to take any appropriate action, including suspension of the business relationship, without prejudice to any legal proceedings that may be brought.
21. Amendments
TRONE reserves the right to amend these General Terms and Conditions at any time. In such case, the applicable terms shall be those in force on the date of the Reseller’s order.
22. Language
If these General Terms and Conditions are translated into one or more languages, French shall be the language of interpretation in the event of any contradiction or dispute regarding the meaning of a term or provision.
23. Applicable law and jurisdiction
These General Terms and Conditions are governed by French law.
In the event of any dispute regarding the validity, interpretation and/or performance of these General Terms and Conditions, TRONE and the Reseller agree that the courts of Paris shall have exclusive jurisdiction to rule on it, except where mandatory procedural rules provide otherwise.
